The Honourable Society of the Middle Temple

Michael F. L. Allen is chairperson of the Higgs & Johnson aviation practice group. He is the author of the Bahamas chapter in Aircraft Finance: Regulation Security and Enforcement, Sweet & Maxwell and co-author of the Bahamas chapter in Aircraft Liens and Detention Rights, Sweet & Maxwell. He is also a former Chairman of the Bahamas Financial Services Board and has written on such topics as “International Business Companies”, and “A Guide to Doing Business in the Bahamas”

Michael joined Higgs & Johnson as a partner in 2008.  Previously he had acquired a Bachelor of Science degree from Houghton College, Houghton New York and a Master of Science degree from the State University of New York at Buffalo. He then qualified in England, having been called to the Degree of the Utter Bar in 1987 and concurrently admitted as a member of the Honourable Society of The Middle Temple, England. Michael was subsequently admitted to the Bahamas Bar in 1988.

Michael has been engaged in aviation related transactions for in excess of 10 years and has practiced corporate and commercial law for more than 25 years. He has been engaged as lead counsel and provided advice as special counsel in a number of Bahamian and multi-jurisdictional transactions including:

  • advising on maters concerned with regulatory requirements for the acquisition and registration of aircraft, license requirements for operations within The Bahamas, the registration of aircraft mortgages and charges and the use of corporate structures in cross-border transactions to facilitate aircraft leasing and financing;
  • acting as special corporate counsel to aircraft leasing and management company in matters relative to incorporation of numerous special purpose vehicles for participation in aircraft acquisition and leasing transactions;
  • advising in Export Credit Agency backed lending arrangements involving the participation of Bahamian international business companies;
  • high value lending facilities involving syndicated loans with international banks as both lead lenders and syndicated members, supported by security and/or guarantees provided by Bahamian offshore corporate vehicles;
  • providing corporate and commercial advice to financial institutions in connection with cross border financing involving a diversity of Bahamian entities including the Bahamas Government;
  • advising on the creation of a private investment vehicle for financing the acquisition and leasing of high value assets together with the structuring of special purpose vehicles for acquisition and leasing of assets and also involving the preparation of security instruments to facilitate the investment scheme;
  • the acquisition of a significant resort hotel property in The Bahamas;
  • acting as special counsel to global private investment firm in the restructuring of a group of companies which included Bahamian offshore vehicles; and the formation of non-profit charitable vehicles to benefit Bahamian and International persons and causes.
