Has acted in various commercial transactions, including banking, foreign and domestic debt and equity financing, the drafting of transaction and security documents, with particular focus on project finance, mergers and acquisitions and the petroleum and natural gas sector, notably in the following matters:
- Project Financing (loan and equity); especially for the International Finance Corporation, OPEC Fund for International Development and other leading financial institutions and commercial banks including preparation and issue of legal opinions;
- Advising the National Bank of Pakistan (as Security Trustee and Intercreditor Agent) in the US$700 million domestic and foreign financing of Engro Chemical Pakistan Limited;
- Advising Citibank N.A. in its financing of Orix Leasing Pakistan Limited;
- Advising the Lenders on the Standby Letter of Credit Facility extended to the Beneficiary on behalf of Northern Power Generation Company Limited in respect of a 50MW rental power project at Samandari Road;
- Advised the foreign lenders in relation to the restructuring of facilities granted to Pakistan Cement Company Limited;
- Acting for the lenders in respect of the financing of the Hub Power Company expansion project and in particular the drafting of security documents;
- Advising Pakistan International Container Terminal Limited on the facilities and security documents relating to the facilities extended by International Finance Corporation and the OPEC Fund for International Development;
- Advising Green Power Limited and Zephyr Power Limited in relation to the project documentation for setting up their respective wind power projects;
- Advising Agence Française de Developpement on the credit facility to be granted to the Government of Pakistan; also prepared a legal due diligence report in respect of Pakistani laws;
- Acting for International Finance Corporation on their financing of International Industries Limited;
- Acting for Uch Power Limited on various matters relation to proposed extension project in Baluchistan;
- Advising clients in matters relating to underwriting agreements, guarantee agreements, various corporate matters, labour laws, employment contracts, leases and preparing numerous due diligence reports on matters pertaining to Pakistani laws;
- Acting for the lenders in connection with the financing of the FFC Energy Limited 50 MW Wind Farm Project in Sindh, Pakistan;
- Acting for China Development Bank, Hong Kong in relation to the acquisition finance by United Energy Group of BP’s upstream petroleum assets in Pakistan;
- Acting for an international telecommunications company in relation to the legal due diligence of a mobile operator;
- Advising the senior lenders in relation to the working capital facilities being availed by the Hub Power Company Limited;
- Advising Shell Exploration Company B.V. in connection with the acquisition of petroleum assets in Pakistan;
- Acting for Pakistan International Container Terminal Limited in relation to a concession to obtain a bulk cargo (including coal and cement clinker) terminal concession from the Port Qasim Authority, including a lease of the project site;
- Advising Agence Française de Developpement on the credit facility to be granted in relation to the Jabban II hydroelectric power project in Azad Jammu and Kashmir;
- Advising the International Finance Corporation in relation to its investment in Matco Rice Processing (Pvt) Limited;
- Advising Exports Credit Guarantee Department (UK) and Standard Chartered Bank (UK) in relation to the restructuring of Wateen Telecom Limited;
- Advising McCann Fitzgerald in relation to MND Group’s sale of its Pakistan assets;
- Acting for Excelerate Energy in relation to the time charter party between them and Engro Elengy Terminal (Pakistan) Limited in connection with the operation of the FRSU LNG regasification unit;
- Acting for International Finance Corporation, Asian Development Bank, Islamic Development Bank and Korea Ex-Im Bank in relation to the Gulpur Hydroelectric Project;
- Acting for Overseas Private Investment Corporation in relation to its financing of the 50MW Sapphire Wind Power Project;
- Acting for Overseas Private Investment Corporation in relation to its financing of the 50MW Dewan Wind Power Project;
- Acting for the Joint Lead Managers in relation to Pakistan’s US$2 Billion sovereign Eurobond offering March 2014;
- Acting for a consortium of Korean companies consisting of KOMIPO, Daelim and Lotte in relation to their equity investment in the 640MW Azad Pattan Hydropower Project;
- Acting for a foreign investor in relation to the proposed acquisition of Pakistan port infrastructure assets of another foreign investor;
- Acting for International Finance Corporation in relation their equity investment in Bank Alfalah Limited;
- Advising a Chinese construction and engineering company in relation to its proposed investment in a coal mine company and coal-fired power project company;
- Acting for International Finance Corporation, Overseas Private Investment Corporation and local lenders in connection with the debt financing of and for International Finance Corporation in connection with its equity investment in a 50MW Wind Farm by Tenaga Generasi Limited, a subsidiary of Dawood Lawrencepur Limited;
- Advising the Hub Power Company Limited in relation to the recent joint venture agreement with China Power International Holding Limited to set up a coal-fired power plant.
- Advising a Chinese company in relation to their proposed investment in a coal mine mouth power project in the province of Punjab;
- Advising a Chinese company in respect of their proposed investment in a coal power project in the province of Sindh involving imported coal;
- Advising a Hong Kong company in respect of the regulatory framework for potential investments in coal mine companies and coal power project companies in Pakistan;
- Acting for the Lenders in relation to the UEP Wind Power Project and the SK Hydro Power Project including drafting and reviewing transaction documents and preparing legal opinions.
- Act as local counsel for Pinsent Masons LLP, advising the China Machinery Engineering Corporation in relation to a joint venture with Engro Corporation to develop an open cast mining facility and coal-fired power plant, including advising on compliance with relevant competition laws.
