Drafts pleadings, conducts research, develops strategies, and regularly appears in suits/petitions and arbitrations for declarations, injunctions, recovery, damages and summary procedure on behalf of local and foreign entities in courts across Pakistan. Assisted the firm’s senior partner (former Additional Attorney General for Pakistan and Advocate General Sindh) with matters in litigation. Advises on corporate and other civil and commercial matters and transactions, both domestic and trans-border, contentious and non-contentious, including in particular: mergers and acquisitions, joint ventures, banking and finance, foreign exchange, music IP, and tobacco, drugs, anti-corruption, labour, securities and competition laws, as well as general regulatory and compliance advice. Notably:
- Acting as local counsel for Eversheds in relation to litigation and arbitration matters, for IATA, mainly in claims brought against it by member airlines;
- Acting for and advising in relation to matters under litigation, for American Airlines, Thai Airways and Etihad Airways, mainly defending against passenger claims;
- Acting for and advising in relation to banking suits and arbitration, for local and foreign financial institutions, banks and customers, including for Hascol Petroleum Limited;
- Acting for Dow University of Health Sciences in litigation matters before the High Court of Sindh and special courts;
- Acted for Bureau Veritas and its subsidiaries/associated companies in relation to matters under litigation;
- Acting for Pakistan Petroleum Limited in relation to matters under litigation and arbitration, and advising in respect of corporate queries;
- Acted for The Shell Petroleum Company Limited in relation to matters under litigation and with respect to its investments and divestments in various local companies and its subsidiary;
- Acted for and advised Surgical Information Systems for the provision of software products for hospitals and ambulatory surgery centers to the Aga Khan University Hospital;
- Acting for ABB and its Pakistan subsidiaries in relation to matters under litigation;
- Advised Toyota Tsusho Corporation in respect of data privacy laws, by reference of Nishimura and Asahi;
- Advised Watson, Farley & Williams on Pakistan export and import regulations, for Louis Dreyfus;
- Advised AO Shearman as local counsel for Stora Enso AG in relation to its divestment in Packages Limited;
- Advising H. Lundbeck A/S on the winding up of its Pakistan business;
- Advising Meta Platforms Inc. on the introduction of NFT wallets;
- Acted for CDC Group plc in relation to its investment in Zephyr Power’s 50MW wind project;
- Acting as local counsel for Shanghai Electric Power Company Limited in relation to its acquisition of K-Electric Limited, including due diligence and advising on, inter alia, the shareholding structure of the power utility company and Pakistan’s listing regulations;
- Advised the Hub Power Company Limited in relation to its joint venture agreement with China Power International Holding Limited to set up a coal-fired power plant, including drafting of project documentation;
- Acted for the sponsor shareholder and leading international petroleum company, in a major transaction involving the sale of its shares in one of Pakistan’s first hydro-skimming refineries, including preparation of agreements and advising on M&A and competition law matters;
- Acting for the International Finance Corporation in relation its investments in Bank Alfalah Limited, Shifa International Hospitals and Pakistan Mortgage Refinance Company Limited;
- Acted for International Power GDF Suez in various matters including, the sale of its shares in the Kot Addu Power Company Limited and the termination of the operations and maintenance agreement between International Power Global Developments Limited and the Hub Power Company Limited;
- Advising various business entities of Credit Suisse in relation to matters pertaining to its business activities in or related to Pakistan;
- Advised Goldman Sachs Asia LLC on internal policies for managing self-funded currencies in Pakistan;
- Advised Caterpillar Inc. and SICPA Inks and Solutions in relation to public procurement laws;
- Advised the Civil Aviation Authority in relation to commercial matters, including the procurement of processing services for national and international airports in Pakistan, and assisted in various litigation matters;
- Acted as local counsel for Pinsent Masons LLP, advising China Machinery Engineering Corporation in relation to a joint venture with Engro Corporation to develop an open cast mining facility and coal-fired power plant, including advising on compliance with competition laws;
- Acted as local counsel for Herbert Smith Freehills LLP, advising Telstra International Limited in relation to a proposal to set up a network solution to provide IPVPN services in the SAARC countries;
- Acted for a leading international tobacco company for setting up its business in Pakistan, including drafting and advising on product and brand manufacturing and distribution agreements, as well as the financing documents and in relation to its regulatory monitoring and response programme, including researching and preparing a regulatory overview of tobacco laws in Pakistan, monitoring the development of such regulation and periodically reporting to the client;
- Acted as local counsel for Freshfields Bruckhaus Deringer, London in connection with research into and advice on anti-corruption laws;
- Advised Jones Day, Allen & Overy and Baker & McKenzie LLP on local laws and regulatory/compliance matters in relation to: labor law and employment queries; marketing in the pharmaceutical industry; employee stock option plans for, amongst others, GE, Pfizer Inc., Morgan Stanley, Siemens and Chemonics International Inc.; and reverse factoring schemes for Deutsche Bank;
- Advised JP Morgan Securities in repurchase and reverse repurchase transactions and securities lending and borrowing transactions with the State Bank of Pakistan;
- Advising the Mitsubishi Corporation on various investments, divestments and other businesses carried out in or related to Pakistan;
- Acted as local counsel for Baker & McKenzie LLP, in connection with the global transfer and separation of the business of the Hewlett-Packard Company, including in relation to employment and real estate matters;
- Acted as local counsel for Norton Rose Fulbright LLP, advising GE Capital regarding the legal framework for debt and equity financing in Pakistan;
- Acted for TGI Friday’s Inc. in a recovery claim against a local franchisee;
- Acted for ARCOP Private Limited in an arbitration against Pakistan Real Estate Investment Company Limited;
- Advised various local startups such as CreditBook, Washup, Dot & Line and Sastaticket, in its incorporation, corporate structuring and domestic and foreign equity investments;
- Advised Frequency Media Pvt. Limited in relation to its production and execution of Coke Studio Pakistan and Velo Soundstation, IP, distribution, licensing and other music-related agreements, and acting in related litigation matters;
- Advised and acted for Deloitte Touche Tohmatsu Limited and its associated entities in respect of its member firm in Pakistan;
- Advised Careem Inc. in respect of its investments and competition related matters;
- Advise and act for local music artists in relation to their agreements with record labels such as Warner, Believe and Mass Appeal.
